Welcome to Veez! These Terms of Service ("Terms") govern your access to and use of the Veez mobile application and website (collectively, the "Service"), operated by Veez Inc. ("we," "us," or "our").

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Service.

1. Eligibility

You must be at least 18 years old to use the Service. By using the Service, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into these Terms.

2. Account Registration

To use certain features of the Service, you must create an account. You agree to:

  • Provide accurate, current, and complete information
  • Maintain and update your information to keep it accurate
  • Keep your password secure and confidential
  • Be responsible for all activity under your account
  • Notify us immediately of any unauthorized use

We reserve the right to suspend or terminate accounts that violate these Terms or that we believe to be fraudulent.

3. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree NOT to:

  • Use the Service for any illegal or unauthorized purpose
  • Harass, abuse, or harm other users
  • Post false, misleading, or defamatory content
  • Impersonate any person or entity
  • Upload content that infringes intellectual property rights
  • Transmit viruses, malware, or harmful code
  • Attempt to gain unauthorized access to the Service
  • Use automated systems (bots, scrapers) without permission
  • Interfere with or disrupt the Service
  • Collect user information without consent
  • Use the Service for commercial solicitation without approval

4. User Content

4.1 Your Content

You retain ownership of content you submit to the Service ("User Content"). By submitting User Content, you grant us a non-exclusive, worldwide, royalty-free, sublicensable license to use, reproduce, modify, display, and distribute your User Content in connection with operating the Service.

4.2 Content Standards

You are solely responsible for your User Content. You agree that your User Content will not:

  • Contain illegal, harmful, or objectionable material
  • Infringe any third-party rights
  • Contain sexually explicit material
  • Promote violence, discrimination, or hatred
  • Contain personal information of others without consent

4.3 Content Removal

We reserve the right to remove any User Content that violates these Terms or that we find objectionable, without prior notice.

5. Matching and Communication

The Service facilitates connections between users for sports activities. We do not guarantee any specific outcomes from matches or events. You acknowledge that:

  • We do not verify the identity or background of users
  • You meet and interact with other users at your own risk
  • We are not responsible for the conduct of any user
  • You should exercise caution when meeting new people

6. Events and Activities

Users may create and join sports events through the Service. By participating in events, you acknowledge that:

  • Physical activity involves inherent risks
  • You are responsible for assessing your own fitness
  • We are not responsible for injuries or damages during events
  • Event organizers are responsible for their events

7. Subscriptions and Payments

7.1 Premium Services

Veez offers optional premium features through paid subscriptions ("Veez Pro"). By subscribing, you agree to pay the applicable fees.

7.2 Billing

Subscriptions are billed in advance on a recurring basis (monthly, quarterly, or annually). Payment will be charged through your app store account.

7.3 Cancellation

You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. No refunds are provided for partial periods, except as required by law or at our discretion.

7.4 Price Changes

We may change subscription prices with reasonable notice. Continued use after a price change constitutes acceptance of the new price.

8. Intellectual Property

The Service, including its design, features, content, and trademarks, is owned by Veez Inc. and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works without our written permission.

9. Privacy

Your use of the Service is subject to our Privacy Policy, which describes how we collect, use, and protect your information.

10. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE. WE DISCLAIM ALL WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VEEZ INC. AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE PAST 12 MONTHS, OR $100, WHICHEVER IS GREATER.

12. Indemnification

You agree to indemnify and hold harmless Veez Inc. and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from your use of the Service, your User Content, or your violation of these Terms.

13. Dispute Resolution

13.1 Arbitration

Any disputes arising from these Terms or the Service shall be resolved through binding arbitration, rather than in court, except for claims that may be brought in small claims court.

13.2 Class Action Waiver

You agree to resolve disputes with us on an individual basis and waive the right to participate in class actions or class-wide arbitration.

13.3 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to conflict of law principles.

14. Termination

We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. Upon termination, your right to use the Service will immediately cease. Provisions that by their nature should survive termination will survive.

15. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes by posting the new Terms on the Service and updating the "Last updated" date. Your continued use of the Service after changes become effective constitutes acceptance of the revised Terms.

16. General Provisions

  • Entire Agreement: These Terms constitute the entire agreement between you and us regarding the Service.
  • Severability: If any provision is found unenforceable, the remaining provisions will continue in effect.
  • Waiver: Our failure to enforce any right does not constitute a waiver.
  • Assignment: You may not assign these Terms without our consent. We may assign these Terms freely.
